| Gerald
F. "Jerry" Toth, Jr., CAA's Managing Director and President, has 30 years of
diverse corporate finance, sales/marketing and general management
experience. He has closed a wide range of significant financial
transactions with clients in more than 75 different industries. In
addition to working for large and sophisticated corporate financial
services companies in both corporate commercial banking and
investment banking capacities (American National Bank-Chicago,
Continental Illinois National Bank-Chicago, Manufacturers
Hanover-New York, Credit Du Nord-Paris, France), Mr. Toth has also
bought, managed, and sold his own industrial specialty chemicals
distribution company. He is intimately familiar with the issues and
challenges of running, selling, and financing middle market
businesses. From his
interaction with sophisticated investment bankers, accounting firms,
buyout groups, venture capitalists, and business valuation
consultants on large corporate finance transactions in the 1980's
and early 1990's, Mr. Toth could see that there was a significant
opportunity to provide the same level of transaction sophistication
and professionalism to smaller companies that is readily available
to large corporations. This is what led Mr. Toth to form Capital
& Acquisition Advisors, Inc., in 1995. Mr. Toth received his BS
(Economics) from Villanova University in 1968, his MBA from Cornell
University in 1973, and was an officer in the US Navy from 1968 to
1971. Mr. Toth is an active member of MBBI (Midwest Business Brokers
and Intermediaries Association).

Joe Olson, Special Industry
Advisor for M&A transactions in the pipe/tube manufacturing and
roll-forming industry, has more than 40 years of in-depth industry
experience. Mr. Olson is the former owner of Chicago Roll Company, which
was a major manufacturer of rollers used in the industry, and grew that
company to over $20 million in sales over a 15-year timeframe. Currently
Mr. Olson is CEO of Roll Machining Technologies & Solutions, which is
a manufacturer of highly engineered rollers and tooling sold worldwide. An acknowledged expert well-known throughout the entire pipe,
tube and roll-forming industry, Mr. Olson has also published more
than 25 industry-related articles. He has received numerous industry
awards not only for his published technical articles, but also for his
speaking skills and leadership in continuing-education programs within the
industry. Mr. Olson is a past president of the American Tube Association
and currently sits on the Board of Directors of both the International
Tube Association and a Chicago area bank.

John F. Hart, Special
Industry Advisor to CAS, has 30 years of diverse experience in the
industrial / specialty chemical industry. Mr. Hart is skilled in corporate
management and finance, strategic development, sales / marketing,
manufacturing, and engineering project management. More specifically, Mr.
Hart has had significant domestic sales and general management experience
with such companies as: Cooper Energy Services (previously White Motor),
Magnum Metals & Minerals, and, most recently, with HA International (a
subsidiary Of Borden Chemical, Inc.). Mr. Hart's diverse experience with
the global chemical industry developed while working for Ashland Chemical
Company (a subsidiary of Ashland Oil), where he served in various
management capacities for 16 years. His management experience with Ashland
included seven years as Manager of International Operations &
Licensing, three years as Director of Licensing, and three years as Vice
President and General Manager of Ashland Chemical's subsidiary in Italy.
During his tenure Mr. Hart managed international operations, which
included 13 manufacturing locations and 18 administrative and sales
offices. He also has established joint ventures and/or licensing
agreements in Australia, China, Japan, Korea, Mexico, and the former USSR,
as well as licensing technology in the US market.
Currently Mr. Hart is President/CEO
of Chemtech Services, Inc., which, under the trade name "UIC Short Path
Distillation Services" designs and manufactures chemical distillation
systems and equipment, as well as providing distillation / recycling /
chemical processing services at its plant location in Joliet, Illinois.
Mr. Hart received his BS in Mechanical Engineering from Ohio State
University in 1974 and is active in numerous chemical industry trade
associations.

Mort E. Oman, in a career spanning some
50 years, has been deeply
involved in a variety of businesses. His experience has contributed to his
understanding of the food (production, sales and distribution),
accounting, hotel and hospitality, real estate brokerage, investment and
financing industries.
From 1948 through 1960 Mr. Oman held various management positions with
the Sherman-Ambassador Hotels Corporation and served as Managing
Director of Paramount Management Company, both in Chicago. In 1961, he
co-founded the firm of Oman Associates, Inc., to become involved in the
sale and management of investment real estate. By the 1980's, Oman
Associates had approximately 2,200 rental, commercial and condominium
units under management throughout the Chicagoland area. Mr. Oman also was
a co-founder of Investors IV (a strategic alliance with four Chicago Real
Estate Board member firms), which expanded into real estate equity
partnerships. By the early 1990's, all of Investor IV's properties were
profitably sold and the partnerships were closed out.
In 1994, Mr. Oman (and Oman Associates) became associated with
Epic/Savage Realty Partners / TCN Worldwide, where he is involved in the
sale and leasing of industrial properties, 1031 tax-deferred exchanges,
and limited partnership equity investments. Mr. Oman received a BS
(Management) from Michigan State University in 1948 following his military
service in WWII (US Army 1943-1946). Mr. Oman is an active member of
MBBI (Midwest Business Brokers and Intermediaries Association).
